Terms & Conditions
Last updated 15 October 2026
These Terms and Conditions ("Terms") govern access to and use of the SignOff platform and related services (the "Service") provided by Slide Five Limited ("SignOff", "Slide5" "we", "us", "our"). By creating an account, accessing an asset for review, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind that organisation.
1\. Definitions
- "Customer" / "Organisation" means the organisation that subscribes to the Service and within whose workspace assets are managed.
- "User" means an individual authorised by a Customer to access the Service with an account.
- "External Reviewer" means a person invited, without an account, to review a single asset through a magic link.
- "Customer Content" means assets, versions, comments, voice notes and other material submitted to the Service by or for a Customer.
- "Subscription" means the plan, seats and term selected by a Customer.
2\. The Service
SignOff provides a cloud-based platform to manage and streamline the approval of creative assets, including a two-stage approval workflow (internal review followed by client review), versioning, commenting, secure external review by magic link, and optional AI assists. We grant the Customer a non-exclusive, non-transferable, revocable right to access and use the Service during the term, for its internal business purposes, subject to these Terms.
We may improve, change or remove features from time to time. We will not materially degrade the core functionality of the Service without reasonable notice. Optional AI features depend on a third-party provider and configuration, and their output is advisory only.
3\. Accounts, eligibility and security
Users must provide accurate registration information and keep their credentials secure. You are responsible for activity under your account. The Customer's administrators control who is invited, the roles they hold, and project membership. You must tell us promptly of any suspected unauthorised access. We may suspend access where we reasonably believe an account is compromised or being misused.
External Reviewers access the Service through a single-asset magic link and are bound by the parts of these Terms that apply to their use (including acceptable use and intellectual property), even though they do not hold an account.
4\. Subscriptions, fees and renewals
Fees, plans and seat allowances are as agreed at sign-up or in an order. Unless stated otherwise, subscriptions renew automatically for successive terms. We will give clear, advance notice of renewal and of any price change, and you may cancel before renewal in line with Section 9. All fees are exclusive of VAT unless stated. Late or failed payment may lead to suspension after notice.
Where card payments are introduced, they will be handled by a third-party payment processor; we do not store full card details.
5\. Consumer cancellation rights
If you are a consumer (an individual acting outside your trade, business or profession) and you buy a subscription online, you may have a statutory right to cancel within 14 days under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you ask us to begin providing the Service during the cancellation period, you accept that you may be charged for what you have used up to the point you cancel, and you lose the right to cancel once the service has been fully performed. Nothing in these Terms affects your non-excludable rights under the Consumer Rights Act 2015, including that services be provided with reasonable care and skill.
6\. Acceptable use
You agree not to, and not to permit any User or External Reviewer to:
- use the Service unlawfully, or to upload content you do not have the right to upload;
- upload material that is unlawful, infringing, defamatory, or that contains malware;
- attempt to gain unauthorised access to the Service, other tenants' data, or underlying systems, or to circumvent access controls, magic-link or forwarding-prevention measures;
- probe, scan, load-test or reverse engineer the Service except to the extent the law permits;
- resell or make the Service available to third parties except as the Service is designed to allow (for example, inviting External Reviewers);
- attempt to manipulate or subvert AI features, including through injected instructions in content.
We may suspend or remove content, or suspend access, where we reasonably believe these rules have been breached or to protect the Service, other customers or any person.
7\. Intellectual property
Our IP. SignOff and its licensors own all intellectual property rights in the platform, software, branding and documentation. Nothing in these Terms transfers ownership of the software; the Customer receives only the limited right to use the Service described above.
Customer Content. The Customer retains all rights in its Customer Content. The Customer grants us a non-exclusive, worldwide licence to host, store, process, display and transmit Customer Content solely to provide and support the Service, and to make back-ups and security copies. The Customer is responsible for having the rights and permissions needed for the Customer Content it submits.
Feedback. If you give us suggestions or feedback, we may use them to improve the Service without obligation to you.
8\. Data protection
Each party will comply with applicable data protection law, including the UK GDPR and the Data Protection Act 2018. For Customer Content that contains personal data, the Customer is the controller and Slide Five Limited is the processor, and the parties will comply with the data processing terms made available by SignOff (which include the clauses required by Article 28 of the UK GDPR). Our Privacy Policy explains how we handle personal data for which we are the controller. The Customer is responsible for having a lawful basis for the personal data it puts into the Service and for any special category data it chooses to include.
9\. Term, suspension and termination
These Terms apply for as long as you use the Service or hold a Subscription. Either party may terminate for the other's material breach that is not remedied within 30 days of written notice, or immediately where the breach cannot be remedied. We may suspend access immediately where necessary to address a security risk, a legal requirement, or non-payment after notice.
Effect of termination. On termination, the right to use the Service ends. For a reasonable period after termination, the Customer may export its Customer Content; after that period we will delete or anonymise it in line with our retention routines and the Privacy Policy, except where the law requires us to keep it. Accrued payment obligations survive termination, as do the clauses that by their nature should continue (including intellectual property, liability, and governing law).
10\. Service availability and support
We aim to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, ideally with notice for planned work. Any specific availability commitment (service level) applies only if expressly agreed in writing with the Customer. Support is provided through the channels we make available from time to time.
11\. Third-party dependencies
The Service relies on third-party providers (for hosting, database and storage, email, document conversion and optional AI). We are not responsible for failures caused by a third-party service outside our reasonable control, but we will take reasonable steps to choose reputable providers and to maintain continuity.
12\. Warranties and disclaimers
We provide the Service with reasonable care and skill. Except as expressly stated in these Terms, and subject to Section 13, the Service is provided "as is" and we exclude all other warranties, conditions and terms to the fullest extent the law allows. We do not warrant that the Service will meet every requirement or that AI-generated output will be accurate; AI output is advisory and must be reviewed by a person before it is relied upon.
13\. Liability
Nothing excluded that cannot be. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under English law. If you are a consumer, nothing in these Terms affects your statutory rights, and your statutory remedies are unaffected.
Exclusions. Subject to the paragraph above, we are not liable for loss of profits, loss of business or revenue, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss, however arising.
Cap. Subject to the first paragraph of this Section, our total aggregate liability arising out of or in connection with these Terms and the Service, whether in contract, tort (including negligence) or otherwise, is limited to the total fees paid or payable by the Customer for the Service in the twelve (12) months before the event giving rise to the claim. Where the Service is used without charge, that cap is \[£100\].
Customer responsibility. The Customer is responsible for maintaining its own copies of Customer Content it considers important; while we operate back-up and security measures, we are not liable for loss of data to the extent it results from the Customer's own acts or omissions.
14\. Indemnity
The Customer will indemnify SignOff against losses, damages and reasonable costs arising from the Customer's breach of these Terms, its misuse of the Service, or Customer Content that infringes a third party's rights or breaks the law. Where we offer any intellectual property indemnity for the Service as provided by us, it will be set out in the applicable order or agreement and is balanced by the Customer's own responsibilities for its data and use.
15\. Changes to these Terms
We may update these Terms from time to time. For material, adverse changes we will give reasonable notice, and where such a change significantly affects the Customer it may end the Subscription before the change takes effect. Continued use after the effective date of an update means you accept the updated Terms.
16\. General
- Assignment. You may not assign these Terms without our consent; we may assign them as part of a reorganisation or sale of our business.
- Entire agreement. These Terms, the Privacy Policy and any order form are the entire agreement between us on their subject matter.
- Severability. If any provision is found unenforceable, the rest remain in force.
- Waiver. A failure to enforce a provision is not a waiver of it.
- Third parties. Except where stated, a person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999.
- Notices. We may give notice by email or through the Service.
17\. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the UK you may also bring proceedings in your home jurisdiction.
